Terms of Service

1. Independent Technology Intermediary Status

Nocti is purely a venue-agnostic matchmaking, discovery, and ticketing software provider. Nocti does not own, operate, inspect, manage, supervise, host, control, or insure any physical event, venue, or gathering listed through our platform.

Hosts and attendees are independent third parties. Listing, discovering, or attending an event creates no partnership, joint venture, agency, employment, or franchise relationship whatsoever between Nocti and any user.

2. Host Warranties and Legal Compliance

By listing an event on Nocti, the host represents, warrants, and agrees that:

• They possess all required municipal permits, noise variances, occupancy clearances, and liquor licenses mandated by local, state, or federal law.
• The venue strictly adheres to local fire codes, maximum capacity limits, safety standards, and residential zoning ordinances.
• They assume full responsibility for crowd control, security, sanitation, and safety compliance at their event.
• Any violation of local laws or these Terms of Service results in immediate listing termination, account suspension, and forfeiture of pending payouts.

3. Comprehensive Indemnification

You agree to defend, indemnify, and hold harmless Nocti, its founders, officers, employees, affiliates, and agents from and against any and all claims, damages, liabilities, losses, judgments, fines, penalties, and legal expenses (including reasonable attorney fees) arising out of or related to:

• Police shutdowns, municipal noise citations, code enforcement fines, or zoning infractions.
• Alcohol or controlled substance distribution, consumption, or related infractions.
• Property destruction, venue damage, premises liability, slip-and-fall injuries, bodily harm, assault, or neighbor civil disputes.
• Any breach of local laws or representations made by the host or attendees.

4. Unilateral Shutdown, Cancellation, and Refund Authority

Nocti reserves the sole and absolute discretion to take immediate administrative action if an event is canceled, disrupted, or shut down by law enforcement, code enforcement, or due to severe neighborhood complaints:

• Nocti retains the right to issue immediate, full refunds to ticket purchasers using funds held or processed through the platform.
• Hosts explicitly waive any claim against Nocti for lost revenue, withheld payouts, disputed transactions, or refunded processing fees resulting from a municipal or law enforcement shutdown.

5. Payment Processing, Fees, and Chargeback Liability

All financial transactions are processed securely through Stripe Connect. By using Nocti:

• Platform Fees: Nocti automatically retains a standard platform service fee (typically 10%) from transactions processed through the app.
• Stripe Fees & Chargebacks: Hosts remain 100% financially liable for all payment disputes, chargeback penalties (including Stripe dispute fees), and payment reversals.
• Right of Offset (Clawback): Nocti is granted the explicit legal right to debit the host’s connected Stripe account, deduct funds from future payouts, or invoice them directly for any negative balances, chargeback costs, or attendee refunds resulting from canceled or fraudulent events.

6. Limitation of Liability and Consequential Damages Waiver

To the maximum extent permitted by applicable law, Nocti shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, data, goodwill, or business reputation, arising out of or in connection with your use of the platform or attendance at any event.

Nocti’s total aggregate liability under any legal theory (contract, tort, negligence, or otherwise) shall be strictly capped to the total platform service fees actually retained by Nocti from that specific event transaction, or the sum of $100.00 USD, whichever is lower.

7. Attendee Assumption of Risk and Release of Liability

Attendees acknowledge that private and public events carry inherent risks, including but not limited to overcrowding, uninspected venues, consumption of food, alcohol, or controlled substances, and potential interactions with unvetted individuals.

By purchasing a ticket or checking in via QR code, attendees voluntarily assume all risks associated with attending any Nocti-listed event and fully release Nocti from any liability for premises liability, injuries, theft, property damage, harassment, or acts of violence.

8. User Conduct, Safety, and Termination

Nocti is built on high-trust real-world connections. We maintain a zero-tolerance policy for predatory behavior, harassment, scamming, hate speech, or illegal activities. Nocti reserves the right to immediately suspend or permanently ban any user, remove events, or report unlawful conduct to local authorities without prior notice.

9. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the appropriate local jurisdiction.
