Nocti is purely a venue-agnostic matchmaking, discovery, and ticketing software provider. Nocti does not own, operate, inspect, manage, supervise, host, control, or insure any physical event, venue, or gathering listed through our platform.
Hosts and attendees are independent third parties. Listing, discovering, or attending an event creates no partnership, joint venture, agency, employment, or franchise relationship whatsoever between Nocti and any user.
By listing an event on Nocti, the host represents, warrants, and agrees that:
You agree to defend, indemnify, and hold harmless Nocti, its founders, officers, employees, affiliates, and agents from and against any and all claims, damages, liabilities, losses, judgments, fines, penalties, and legal expenses (including reasonable attorney fees) arising out of or related to:
Nocti reserves the sole and absolute discretion to take immediate administrative action if an event is canceled, disrupted, or shut down by law enforcement, code enforcement, or due to severe neighborhood complaints:
All financial transactions are processed securely through Stripe Connect. By using Nocti:
To the maximum extent permitted by applicable law, Nocti shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, data, goodwill, or business reputation, arising out of or in connection with your use of the platform or attendance at any event.
Nocti’s total aggregate liability under any legal theory (contract, tort, negligence, or otherwise) shall be strictly capped to the total platform service fees actually retained by Nocti from that specific event transaction, or the sum of $100.00 USD, whichever is lower.
Attendees acknowledge that private and public events carry inherent risks, including but not limited to overcrowding, uninspected venues, consumption of food, alcohol, or controlled substances, and potential interactions with unvetted individuals.
By purchasing a ticket or checking in via QR code, attendees voluntarily assume all risks associated with attending any Nocti-listed event and fully release Nocti from any liability for premises liability, injuries, theft, property damage, harassment, or acts of violence.
Nocti is built on high-trust real-world connections. We maintain a zero-tolerance policy for predatory behavior, harassment, scamming, hate speech, or illegal activities. Nocti reserves the right to immediately suspend or permanently ban any user, remove events, or report unlawful conduct to local authorities without prior notice.
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the appropriate local jurisdiction.
